Terms of Use

Last Updated: October 22, 2026  ·  Effective Date: October 22, 2026

These Terms of Use ("Terms") form a legally binding agreement between NoLimits, a service operated by No Limit Apps LLC, a Wyoming limited liability company ("NoLimits", "we", "us"), and any person or entity using the NoLimits websites (nolimits.ltd, *.nolimits.ltd) or related services (collectively, the "Platform").

By creating an account, purchasing a Plan, submitting a Campaign, clicking "I agree", or otherwise using the Platform, you acknowledge that you have read, understood, and fully accepted these Terms. If you do not agree, you must not use the Platform.

IMPORTANT: Section 21 of these Terms contains a binding individual arbitration agreement and a class action waiver that affect how disputes between you and NoLimits are resolved. Please review it carefully. You may opt out of arbitration within 30 days as described in Section 21.5.

Client: A natural or legal person who holds a NoLimits account and purchases Services.

Business Client: A Client that is a legal entity and has completed NoLimits's business verification, including for the purpose of paying by invoice under Section 5.

Plan: The service package purchased by the Client, as shown on the Platform's pricing page or in a written Quote, specifying the number of Devices and Managed Accounts, content volume, Content Formats, target countries, and billing period.

Quote: A written offer issued by NoLimits for a custom Plan. An accepted Quote forms part of the Order.

Order: A purchase of a Plan, or of any other Service, made by the Client on the Platform or by accepting a Quote.

Device: A real physical smartphone owned or controlled by NoLimits, operating with a local SIM card in a specific country, used to publish content on social-media platforms natively through the official apps.

Managed Account: A social-media account created or operated by NoLimits on a Device for the benefit of a Client.

Campaign: The Client's brief for a Plan: the product or brand, reference materials, target countries, posting schedule, and any other instructions.

Content Formats: The types of content NoLimits produces, including AI UGC (videos featuring AI-generated presenters or scenes), Real UGC (videos filmed by real people), Cartoon and animated content, Slideshows, and other formats offered on the Platform from time to time.

Deliverable: Any content piece, post, account setup, or report delivered under an Order.

Client Materials: Any logos, trademarks, product images, footage, music, scripts, claims, references, or other materials supplied by or on behalf of the Client.

UGC Creator: An independent person engaged by NoLimits to film or appear in Real UGC content.

Payment Processor: The third-party payment service provider(s) engaged by NoLimits to process payments.

2. Scope and Role of NoLimits

NoLimits provides a managed service for short-form content. Depending on the Plan, NoLimits:

  • produces content in the Content Formats selected by the Client, based on the Campaign and the Client Materials;
  • sets up and operates Managed Accounts on Devices in the Client's target countries; and
  • publishes content from those Devices natively, at a natural pace, according to the Campaign schedule, and reports on posting activity in the dashboard.

NoLimits is not:

  • a provider of guaranteed social-media performance outcomes;
  • a bank, money transmitter, money services business, or escrow agent;
  • a partner, affiliate, or representative of TikTok, Instagram, YouTube, Meta, or any other social-media platform.

NoLimits does not provide:

  • performance guarantees of any kind (views, followers, engagement, sales, monetization);
  • access to features unavailable on third-party platforms;
  • any service not explicitly described in the applicable Plan or Quote.

NoLimits does not sell views, followers, likes, or any other engagement metric (see Section 12). Results on social-media platforms depend on platform algorithms and audience behavior, which NoLimits does not control.

3. Plans and Billing

3.1 Plans and Pricing

Services are sold as Plans at the prices shown on the Platform's pricing page or in an accepted Quote (currently [PRICE: e.g. $X per Device per month / Plan prices]). NoLimits may update its prices upon reasonable notice; price changes apply from the next billing period and never to a period already paid for.

3.2 Billing Period and Renewal

Plans are billed in advance for each billing period (monthly unless the Plan or Quote states otherwise). Unless the Client cancels before the end of the current billing period, the Plan renews automatically for the next period and the payment method on file is charged the then-current price. Business Clients paying by invoice are billed under Section 5.

3.3 Changing the Plan

Clients may request to add or remove Devices, Managed Accounts, countries, or content volume through the Platform or by contacting NoLimits. Upgrades take effect once paid for; the price difference for the remainder of the current period may be charged pro rata. Downgrades take effect from the next billing period. No refund or credit is issued for time already elapsed.

3.4 Cancellation

Clients may cancel a Plan at any time through the Platform or by emailing team@nolimits.ltd. Cancellation takes effect at the end of the current billing period; Services continue until then and no partial refund is issued for the remaining period. On cancellation, Managed Accounts are handed over as described in Section 10.

3.5 No Refunds

All payments are non-refundable except where required by mandatory applicable law or where expressly stated in these Terms. A Client cannot request a refund based on dissatisfaction with social-media platform performance, unavailable third-party platform features, or misunderstandings unrelated to the Services explicitly defined in the applicable Plan or Quote. This no-refund policy is disclosed on the pricing page before purchase and applies to all payment methods, including invoiced payments under Section 5.

3.6 Fulfillment — How the Service Is Delivered

Service delivery begins once payment is confirmed (for invoiced payments, after funds have cleared as described in Section 5.3) and the Client has submitted the Campaign. NoLimits then assigns Devices, sets up the Managed Accounts, produces content, and publishes it according to the Campaign schedule. Setup is typically completed within 24 hours of approval. Delivery progress, posting activity, and per-device analytics are visible to the Client in the dashboard. Indicative timelines are estimates only; no specific delivery time is guaranteed (Section 7.4). For any question about delivery, contact team@nolimits.ltd.

4. Payments, Fees, and Taxes

4.1 General

All amounts are stated in US dollars unless otherwise indicated and are payable in advance. NoLimits is not a bank, money transmitter, money services business, or escrow agent; amounts paid in advance do not accrue interest and do not constitute insured deposits.

4.2 Payment Processing

Card payments are processed by our third-party Payment Processor. NoLimits does not store full payment-card numbers; card data is collected and processed by the Payment Processor in accordance with PCI DSS. Charges will appear on your card statement under a billing descriptor referencing [BILLING DESCRIPTOR, e.g. NOLIMITS].

4.3 Taxes

Prices are exclusive of taxes unless stated otherwise. Sales tax or equivalent transaction taxes are added where applicable law requires. Each Client is solely responsible for all other taxes, duties, and levies arising from its use of the Services. NoLimits will provide a Form W-9 upon a Business Client's request.

4.4 Failed Payments

If a renewal payment fails, NoLimits may retry the charge and may pause publishing and content production until the outstanding amount is paid. If payment is not received within 14 days, NoLimits may cancel the Plan.

4.5 Chargebacks and Reversals

NoLimits maintains records of fulfillment — delivered content, posting confirmations, timestamps, and Platform communications — and may submit them as evidence in payment disputes. If a Client initiates a payment reversal that NoLimits reasonably determines to be unfounded, NoLimits may suspend the Services and the Client's account and recover the reversed amount, together with associated processing fees.

5. Invoiced Payments (Business Clients)

5.1 Availability

Payment by bank transfer (wire or ACH) against an invoice is available only to Business Clients — legal entities that have completed NoLimits's business verification (KYB). NoLimits may decline to offer invoiced payment to any Client at its sole discretion and without stating reasons.

5.2 Ordering

Invoiced Orders are placed through the Platform dashboard, a Quote, or a written order form. In the event of a conflict between an order form or Quote and these Terms, the order form or Quote prevails for that Order only. For larger engagements, a separately negotiated Master Services Agreement may be concluded; where an MSA exists, it prevails over these Terms to the extent of any conflict.

5.3 Start of Services After Clearing

Services paid by invoice start only after the corresponding funds have been actually received and cleared in NoLimits's account — not upon issuance of a payment order. ACH transfers may be returned or reversed; NoLimits may wait until the applicable return window has lapsed or it is otherwise satisfied the payment is final.

5.4 Payer Identity

Payment must originate from a bank account held in the name of the Business Client itself. Payments from third parties are not accepted and may be rejected or returned at the payer's expense.

5.5 Due Dates and Late Payment

Invoices are payable by the due date stated on the invoice (prepayment, unless other terms are expressly stated). Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. NoLimits may suspend the Services for non-payment, and the Client bears reasonable costs of collection, including attorney fees.

5.6 Bank Fees and Currency

All banking and intermediary fees are borne by the payer (wire instruction "OUR"). Only the amount actually received is credited. All invoices are denominated in USD; any currency-conversion risk rests with the Client.

5.7 Returned and Reversed Payments

If a bank transfer is returned, reversed, or fails for insufficient funds, NoLimits may pause the Services funded by it and charge a reasonable administrative fee.

5.8 Non-Refundable

The no-refund policy in Section 3.5 applies to invoiced payments in the same way as to card payments, and is also stated on each invoice.

5.9 Compliance Screening

NoLimits screens incoming transfers and paying entities against applicable sanctions lists and may decline, hold, or return funds where it identifies sanctions concerns, an unexplained source of funds, a third-party payer, or other anti-money-laundering red flags, without liability for any resulting delay or non-provision of services.

6. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform. The Platform may not be used by anyone under 18 under any circumstances. All users must provide accurate, current, and complete registration information and are responsible for maintaining the security of their account credentials. NoLimits reserves the right to verify identity and reject or terminate accounts that provide false information or that are found to belong to persons under 18.

7. Campaigns, Content, and Delivery

7.1 Campaign Brief

The Client defines the product or brand, target countries, Content Formats, posting schedule, and any other instructions in the Campaign, and supplies the Client Materials. It is the Client's sole responsibility to ensure that the Campaign, its instructions, and all Client Materials are lawful, accurate, and compliant with the rules of the target social-media platforms. NoLimits may decline or request changes to any Campaign that it reasonably considers non-compliant.

7.2 Content Review and Revisions

Where the Plan includes content approval, NoLimits makes content available for review in the dashboard before publishing. The Client may request reasonable revisions within the original Campaign scope; each content piece includes up to [N] rounds of revisions. Content is deemed approved when the Client approves it, or automatically if the Client takes no action within 3 calendar days. The Client may also enable automatic approval for some or all Content Formats.

Approval — whether given by the Client or automatic — is final. Once content is approved or published, NoLimits is no longer required to modify, replace, or refund it, except where mandatory law requires otherwise.

7.3 Publishing

NoLimits publishes approved content from Devices according to the Campaign schedule, adjusting exact timing, pacing, and distribution across Managed Accounts at its discretion to keep activity natural and to comply with platform rules.

7.4 Delivery Times

No specific delivery time is guaranteed for any Campaign, Deliverable, or Order. Any indicative timeline communicated through the Platform or support channels is for informational purposes only and does not constitute a binding commitment by NoLimits.

If, for reasons attributable to NoLimits, publishing under a paid Plan has not started within 14 business days after the Client submitted a complete Campaign, the Client may request that the unused part of the current billing period be credited toward a future billing period. Such credit constitutes the Client's sole and exclusive remedy for delay and shall not give rise to any refund, further compensation, or monetary claim.

7.5 Capacity Limitations

NoLimits may throttle, restrict, or temporarily pause content production or publishing due to Device availability in a given country, technical constraints, platform changes, or other operational factors. Where such a pause, attributable to NoLimits, exceeds 7 consecutive days, the affected time is credited toward a future billing period; there is no other refund or compensation.

8. Client Responsibilities and Limitations

Clients acknowledge that their payments cover only the Services explicitly described in the applicable Plan or Quote. NoLimits does not guarantee availability, performance, platform features, or compatibility with external systems.

8.1 Non-Refundable Cases (Non-Exhaustive)

Refunds, credits, or compensation cannot be issued for reasons not strictly tied to NoLimits's failure to deliver a Service explicitly described in the Plan or Quote. Examples include but are not limited to:

  • Requesting a country that is unavailable or becomes unavailable on the Platform.
  • Expecting access to features available on a social-media platform but not supported by NoLimits.
  • Changes in third-party platform rules affecting how content can be published or promoted.
  • Account bans, restrictions, or content removal caused by platform algorithms, community guidelines, copyright detection, or automated moderation.
  • Dissatisfaction with performance results (views, engagement, growth, sales, algorithmic reach).
  • Subjective dissatisfaction with content that was approved or published under Section 7.2.
  • Client misunderstanding or lack of due diligence about what the Plan includes.
  • Third-party platform outages or disruptions.
  • Client errors such as incorrect instructions, wrong country selection, inaccurate product claims, or late submission of Client Materials or approvals.

8.2 Client Materials

The Client represents and warrants that it owns or has all rights, licenses, and consents needed to provide the Client Materials and to have them used, edited, and published as part of the Services, and that all product claims it provides are truthful and substantiated. The Client grants NoLimits a non-exclusive, worldwide, royalty-free license to use the Client Materials solely to provide the Services.

9. Content Production

9.1 AI-Generated Content

AI UGC and other AI-assisted Content Formats are produced with generative-AI tools. AI output may contain inaccuracies or resemble existing material, and the Client should review it before approval. NoLimits labels AI-generated or AI-altered content where required by applicable law or by the rules of the target social-media platform, and the Client must not request that such labels be removed. AI-generated presenters are not real people and may not be used to present fake personal experiences, reviews, or testimonials (see Section 12.2).

9.2 Real UGC and UGC Creators

Real UGC is filmed by UGC Creators engaged by NoLimits as independent contractors. NoLimits obtains the releases needed for the Client to use a UGC Creator's footage, name, and likeness for the purposes of the Campaign. The Client may not contact UGC Creators directly to circumvent NoLimits, and may not use their likeness outside the scope of the Campaign without NoLimits's written consent.

9.3 Music, Fonts, and Stock Assets

Where content uses music, sounds, fonts, or stock assets, NoLimits uses assets it is licensed to use or those available within the target platform's own libraries. Platform library audio is licensed by the platform for use on that platform only; the Client is responsible for securing any additional rights needed to reuse content elsewhere, including in paid advertising.

10. Managed Accounts and Credentials

10.1 Account Ownership

Managed Accounts are created for the benefit of the Client. Subject to the terms of the applicable third-party platform, which may restrict account creation, operation, or transfer, the Client owns the Managed Accounts and the content posted to them once the relevant Services are paid for in full.

10.2 Credential Handover

Upon the Client's request submitted through the Platform, or on cancellation of the Plan, NoLimits hands over the credentials for the Managed Accounts — usernames, passwords, recovery email addresses, and two-factor-authentication settings. Email addresses created specifically to register Managed Accounts are included in the handover. Phone numbers and SIM cards used on Devices remain NoLimits's property and are removed from the accounts as part of the handover where the platform allows it.

10.3 Access Outside Platform Workflows

If a Client accesses, modifies, or takes control of a Managed Account outside the Platform workflow (including changing credentials without a handover request), NoLimits is relieved of all further support, maintenance, and delivery obligations with respect to that account, and no refund or credit is issued for it.

10.4 Restricted Accounts

If a Managed Account is restricted or banned through no fault of the Client's content or instructions, NoLimits may, at its discretion, replace it with a new Managed Account at no additional charge. Replacement is the Client's sole remedy for a restricted account.

10.5 Verification Holds

Access to, or handover of, account credentials may be temporarily restricted while NoLimits verifies account ownership, investigates suspected fraud or abuse, waits for outstanding payments, or satisfies compliance obligations. Such restrictions do not constitute a breach of these Terms.

10.6 No Guarantee of Continued Access

NoLimits does not guarantee perpetual access to any Managed Account. Third-party platforms may restrict, suspend, or delete accounts at any time (Section 13), and recovery mechanisms may fail for reasons outside NoLimits's control. NoLimits is not responsible for actions taken by social-media platforms.

11. Content and Conduct Rules

Clients may not submit, request, or have NoLimits produce or distribute content that is:

  • illegal, obscene, defamatory, threatening, or harassing;
  • infringing on intellectual property, publicity, or privacy rights;
  • hateful, discriminatory, or inciting violence;
  • misleading, deceptive, or fraudulent, including unsubstantiated health, financial, or product claims;
  • sexually explicit, or involving minors in any way;
  • in violation of the terms of service of any target social-media platform.

NoLimits may refuse to produce or publish any content, remove content, pause Campaigns, or terminate accounts at its discretion upon discovering violations, and will not issue refunds or compensation if a social-media platform bans, restricts, or removes an account or content.

12. Advertising Compliance and Authentic Engagement

12.1 What NoLimits Sells

NoLimits sells content production and the native distribution of that content from real Devices. NoLimits does not sell — and no Plan, Quote, or Campaign shall be construed as a sale of — views, followers, likes, comments, or any other indicator of social-media influence.

12.2 Prohibition on Fake Engagement and Fake Reviews

Clients must not use the Services to purchase, procure, or generate fake indicators of social-media influence — including followers, views, likes, comments, or shares produced by bots or other automated means — or to publish fake reviews or testimonials, including testimonials by people who do not exist or who did not actually have the experience described. This prohibition reflects, among other laws, the FTC Rule on Consumer Reviews and Testimonials (16 CFR Part 465). Violations result in immediate termination under Section 17.

12.3 Advertising Disclosures

Clients are solely responsible for ensuring that distributed content carries any disclosures required by applicable advertising law — including the FTC Endorsement Guides (disclosure of material connections, such as "#ad") — and by the branded-content, paid-partnership, and AI-labeling rules of the target social-media platform. Each Client represents and warrants that its content and instructions comply with all applicable advertising, consumer-protection, and marketing laws in each target country.

12.4 Reviews and Ratings

Users may not post, procure, or solicit fake, deceptive, or defamatory reviews or testimonials of NoLimits, and may not condition compensation or incentives on the sentiment of a review.

13. Platform and Industry Neutrality

These Terms apply to all current and future services offered by NoLimits across all industries, platforms, and domains, including but not limited to TikTok, Instagram, YouTube, Facebook, Snapchat, X, and any other digital service where NoLimits may operate.

NoLimits has no partnership, endorsement, or affiliation with any of these platforms. Managed Accounts and content remain subject to third-party platform rules. These platforms may at any time restrict, suspend, or delete accounts without notice. No refund will be issued for such actions; replacement is governed by Section 10.4.

14. Prohibited Uses

Users are strictly prohibited from:

  • Contacting UGC Creators or NoLimits personnel off-platform to circumvent NoLimits or its fees.
  • Manipulating Orders, Plans, or the billing system fraudulently.
  • Using the Services for illegal, harmful, or deceptive purposes.
  • Ordering or facilitating fake engagement, fake reviews, or fake indicators of social-media influence (Section 12.2).
  • Harassing, threatening, or abusing UGC Creators or NoLimits personnel.
  • Harming NoLimits, its contractors, other users, or third parties in any way.
  • Scraping, reverse-engineering, or extracting Platform data or code.
  • Creating multiple accounts to circumvent sanctions, limits, or billing controls.
  • Impersonation or identity fraud.
  • Submitting or requesting illegal, infringing, or non-compliant content.

Violations may result in immediate and permanent account termination without refund, and reporting to relevant authorities where required.

15. Copyright / DMCA Policy

15.1 Takedown Notices

NoLimits respects intellectual-property rights and responds to notices submitted under the Digital Millennium Copyright Act, 17 U.S.C. § 512. If you believe content stored on or distributed through the Platform infringes your copyright, send a written notice to our Copyright Agent — Copyright Agent, No Limit Apps LLC, 30 N Gould St Ste R, Sheridan, WY 82801, United States, or by email to team@nolimits.ltd (subject line "DMCA Notice") — including:

  • identification of the copyrighted work claimed to be infringed;
  • identification of the allegedly infringing material and information reasonably sufficient to locate it (e.g., a Campaign or post URL);
  • your name, address, telephone number, and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
  • your physical or electronic signature.

Upon receipt of a valid notice, NoLimits will expeditiously remove or disable access to the identified material and notify the user who provided it.

15.2 Counter-Notices

If your material was removed and you believe the removal was a mistake or misidentification, you may submit a counter-notice to the same address containing: identification of the removed material and its prior location; a statement under penalty of perjury of your good-faith belief that the removal was erroneous; your name, address, and telephone number; consent to the jurisdiction of the federal district court for your address (or, if outside the United States, any judicial district in which NoLimits may be found) and to accepting service of process from the original complainant; and your signature. Unless the original complainant files a court action within 10–14 business days, the removed material may be restored.

15.3 Repeat Infringers

NoLimits terminates, in appropriate circumstances, the accounts of users who are determined to be repeat infringers.

16. Sanctions and Export Control

You may not use the Platform if you are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk, and so-called Luhansk regions of Ukraine), or if you are listed on, or majority-owned or controlled by any party listed on, the OFAC Specially Designated Nationals (SDN) List or any other applicable U.S. government restricted-party list.

By using the Platform, you represent and warrant that neither you nor any of your beneficial owners is such a person. NoLimits may immediately suspend accounts, block transactions, withhold payouts, and reject or return funds upon an actual or suspected sanctions match, without liability, and may make any filings required by law.

17. Suspension and Termination

NoLimits may suspend or permanently terminate any account, with no refund, if the user:

  • attempts fraud or deception;
  • harms NoLimits, its contractors, other users, or third parties;
  • misuses the Platform for illicit purposes;
  • attempts off-platform contact in violation of these Terms;
  • violates social-media platform rules or applicable law;
  • engages in any other conduct deemed harmful to the Platform community.

18. Intellectual Property

Upon full payment for the relevant Services, NoLimits assigns to the Client all of its rights in the final Deliverables produced for the Client, to the extent permitted by law and subject to any third-party platform restrictions, the licenses for music, fonts, and stock assets described in Section 9.3, and the UGC Creator releases described in Section 9.2. Rights in AI-generated material are assigned to the extent such rights exist under applicable law.

NoLimits retains all rights to its own software, platform code, Device infrastructure, prompts, templates, workflows, AI models and tooling, branding, trademarks, trade dress, analytics systems, and any proprietary technology. No license to use NoLimits's intellectual property is granted beyond what is strictly necessary to access the Platform's intended features.

19. Liability and Disclaimers

The NoLimits Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

NoLimits is not liable for:

  • deleted, restricted, or suspended social-media accounts;
  • third-party platform restrictions, policy changes, or outages;
  • damages arising from Client Materials, Client instructions, or content approved by the Client;
  • indirect, incidental, special, consequential, or punitive losses;
  • loss of profits, revenue, data, or business opportunity.

NoLimits's maximum aggregate liability to any user for any claim arising under or related to these Terms shall not exceed the greater of USD 100 or the total fees paid by that user to NoLimits in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, the above exclusions and limitations apply to the fullest extent permitted by law and some of them may not apply to you.

20. Indemnification

Each user agrees to indemnify, defend, and hold harmless NoLimits and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) the user's use of the Platform; (b) content submitted or distributed by the user; (c) the user's breach of these Terms; (d) the user's violation of any applicable law or third-party right; or (e) the user's violation of advertising, consumer-protection, or marketing law, including any failure to include disclosures required by the FTC Endorsement Guides or equivalent rules (Section 12).

21. Dispute Resolution; Arbitration; Class Action Waiver

21.1 Informal Resolution First

Before starting arbitration or any court proceeding, you and NoLimits agree to first attempt to resolve any dispute informally. Send a written notice describing the dispute and the relief sought to team@nolimits.ltd (subject line "Notice of Dispute"). The parties will negotiate in good faith for at least 30 days from receipt of the notice before either party may commence a formal proceeding.

21.2 Binding Individual Arbitration

Except as provided in Section 21.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitration will be conducted by a single arbitrator, in English, and may proceed by videoconference or, if an in-person hearing is required, in the county of your residence (or another mutually agreed location). Payment of filing, administration, and arbitrator fees is governed by the AAA rules. The arbitrator's award may be entered in any court of competent jurisdiction.

21.3 Class Action and Jury Trial Waiver

You and NoLimits each waive the right to a trial by jury and the right to participate in a class, collective, consolidated, representative, or private-attorney-general action. Claims may be brought and arbitrated only in an individual capacity. The arbitrator may not consolidate claims of more than one party.

21.4 Exceptions

Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights or to address unauthorized access to or abuse of the Platform, in each case without first arbitrating.

21.5 Your Right to Opt Out

You may opt out of the arbitration agreement and class action waiver in this Section 21 by emailing team@nolimits.ltd with the subject line "Arbitration Opt-Out" — including your name and account email — within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

21.6 Severability and Survival of This Section

If the class action waiver in Section 21.3 is found unenforceable as to a particular claim, then this entire Section 21 (other than the jury-trial waiver, where enforceable) shall be void as to that claim, which shall proceed in court under Section 22. This Section 21 survives termination of these Terms and of your account.

22. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles, except that Section 21 is governed by the Federal Arbitration Act. Any dispute not subject to arbitration under Section 21 shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, except where mandatory consumer-protection law requires otherwise.

23. Changes to These Terms

NoLimits may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to the address associated with your account and/or by a prominent notice on the Platform, before the change takes effect. Non-material changes (such as clarifications or corrections) may take effect upon posting with a revised "Last Updated" date.

If you do not agree to an updated version of the Terms, you must stop using the Platform before the update's effective date. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. Changes do not apply retroactively: billing periods already paid for remain governed by the version of the Terms in effect at the time of purchase, unless a change is required by law or benefits you.

24. General Provisions

24.1 Force Majeure

NoLimits is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, epidemics, power or internet failures, or failures of third-party platforms or providers.

24.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

24.3 Entire Agreement

These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any applicable order form or MSA, constitute the entire agreement between you and NoLimits regarding the Platform and supersede all prior agreements and understandings on that subject.

24.4 Assignment

NoLimits may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms or your account without NoLimits's prior written consent; any attempted assignment in violation of this Section is void.

24.5 No Waiver

NoLimits's failure to enforce any provision of these Terms is not a waiver of its right to do so later. Any waiver must be in writing to be effective.

24.6 Survival

Sections 3.3, 3.6, 4, 9.5, 10, 18, 19, 20, 21, 22, and 24 survive any termination or expiration of these Terms or of your account.

24.7 Notices
